Welcome to WHSPKAH Research and Business Network Ltd. These Terms and Conditions ("Terms") govern your access to and use of our website, traceability platform, mobile applications, online shop, SACCO management systems, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Definitions

  • "We," "Us," "Our" refers to WHSPKAH Research and Business Network Ltd.
  • "You," "Your," "User" refers to the individual, cooperative, organization, or entity accessing our Services
  • "Cooperative" refers to Bwamba Cooperative Union and its member cooperatives
  • "Platform" refers to our traceability system and related software applications
  • "Content" refers to all information, data, text, graphics, and materials on our Services

2. Acceptance of Terms

By registering an account, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and WHSPKAH.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using our Services under any applicable laws
  • All information you provide is accurate, current, and complete

  • Maintain and update your information to keep it accurate and current
  • Maintain the security and confidentiality of your login credentials

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes.

5.2 Prohibited Uses

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers/networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services
  • Use automated systems (bots, scrapers, crawlers) without our written permission
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Upload or transmit viruses, malware, or any harmful code
  • Engage in any activity that could harm our reputation or business
  • Collect or harvest personal information of other users

6. Traceability Platform and Data

6.1 Data Accuracy

Users are responsible for ensuring the accuracy of data entered into the traceability platform, including farmer information, farm details, production records, and GPS coordinates.

6.2 Data Use

Data collected through our traceability platform will be used for supply chain transparency, quality monitoring, certification compliance, and reporting to authorized stakeholders as outlined in our Privacy Policy.

6.3 Third-Party Access

Bwamba Cooperative Union, authorized buyers, certification bodies, and regulatory authorities may have access to traceability data as necessary for verification and compliance purposes.

7. Mobile Applications

Our mobile applications for field agents are provided as-is. You are responsible for:

  • Maintaining compatible devices and internet connectivity
  • Updating the application to the latest version
  • Data charges incurred while using the application
  • Backing up data entered through the mobile application

8. Online Shop and E-Commerce

8.1 Product Information

We strive to display accurate product information. However, we do not warrant that product descriptions, pricing, or availability are error-free.

8.2 Orders and Payment

By placing an order, you agree to:

  • Provide accurate payment and delivery information
  • Pay all applicable charges, including taxes and shipping
  • Accept that orders are subject to acceptance and availability

8.3 Returns and Refunds

Returns and refunds are subject to our return policy, which will be provided at the time of purchase.

9. SACCO Management System

9.1 Financial Accuracy

The SACCO management system is designed to assist with financial operations. Users are responsible for:

  • Verifying all financial transactions and balances
  • Maintaining proper accounting and audit records
  • Complying with applicable financial regulations
  • Ensuring authorized access to financial features

9.2 No Financial Advice

Our SACCO management system does not constitute financial, legal, or tax advice. Users should consult appropriate professionals for such advice.

10. Intellectual Property Rights

10.1 Our Ownership

All content, features, functionality, software code, designs, graphics, trademarks, and logos in our Services are owned by WHSPKAH and protected by copyright, trademark, and other intellectual property laws.

10.2 User Content

You retain ownership of data and content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for providing and improving our Services.

11. Payment Terms

11.1 Fees

Certain Services may require payment of fees. All fees are exclusive of taxes unless otherwise stated. You agree to pay all applicable fees and taxes.

  • Subscriptions automatically renew unless cancelled

13.2 No Guarantee

We do not guarantee specific results from using our Services. Success in cocoa farming, traceability, sales, or SACCO operations depends on various factors beyond our control.

14. Limitation of Liability

To the maximum extent permitted by law, WHSPKAH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Cost of substitute goods or services

Our total liability for any claims arising from these Terms or use of our Services shall not exceed the amount paid by you to us in the 12 months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless WHSPKAH, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of our Services
  • Violation of these Terms
  • Violation of any rights of third parties
  • Your content or data submitted to our Services

  • Provisions that should survive termination will remain in effect

19. Dispute Resolution

19.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to conflict of law principles.

19.2 Arbitration

Any disputes arising from these Terms or use of our Services shall first be attempted to be resolved through good faith negotiations. If unresolved, disputes shall be submitted to arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act of Uganda.

19.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of Uganda for any legal proceedings that cannot be resolved through arbitration.

20. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, internet failures, or government actions.

21. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us, constitute the entire agreement between you and WHSPKAH regarding our Services.

23. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

24. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
